PipeGears Website Terms of Use

1. About these terms

These Website Terms of Use (the "Terms") govern your use of the website at pipegears.com and its public sub-pages (the "Website"), operated by Towerlogic Inc. doing business as PipeGears( "PipeGears", "we", "us", "our"), a corporation incorporated under the laws of Quebec.

By accessing or using the Website, you agree to these Terms. If you do not agree, please do not use the Website.

The Website is a marketing and informational presence for our product. Use of the PipeGears Product (the paid integration platform, delivered through multiple subdomains and URLs) is governed by the separate PipeGears Master Services Agreement, which customer organizations accept at sign-up.

PipeGears is a registered trademark of Towerlogic Inc.

2. Language

These Terms are provided in English and in French. The French version is available on request. No provision of these Terms may be interpreted as denying any right that applicable Quebec language legislation grants to you to receive a contract or related document in French.

3. Privacy

Your use of the Website is also governed by the PipeGears Privacy Policy, which explains what information is collected when you visit the Website (primarily server access logs) and when you submit the contact form, and how that information is handled.

4. Permitted use

You may access and view the Website for your own informational purposes. You may share links to public pages of the Website. You may quote short excerpts of Website content with attribution.

You may submit the contact form to reach us. Information you provide through the form will be handled in accordance with the Privacy Policy.

You agree not to:

1. attempt to interfere with, disrupt, or compromise the security of the Website or any related systems;
2. attempt to gain unauthorized access to any non-public portion of the Website;
3. use the Website to transmit malware or to commit fraud or any other unlawful act;
4. use automated tools to harvest content from the Website in a manner that would impose an unreasonable load on our infrastructure or that violates standard web crawler etiquette (such as the Website's robots.txt directives);
5. use the Website to send unsolicited commercial messages or to violate applicable anti-spam legislation (including CASL); or
6. use the Website in violation of applicable law.

5. Intellectual property

The Website and its content (text, graphics, logos, images, and code) are owned by Towerlogic Inc. or its licensors and are protected by copyright, trademark, and other intellectual property laws. Towerlogic and PipeGears are trademarks of Towerlogic Inc.

These Terms grant you no licence to copy, reproduce, distribute, modify, or create derivative works from Website content, except as expressly permitted in section 4 or as otherwise allowed by applicable law.

6. Third-party links

The Website may contain links to third-party websites or embed content from third parties. We do not control, and are not responsible for, the content or practices of those third-party sites or services. Following a link is at your own risk.

7. No warranties

The Website is provided "as is" and "as available", without warranties of any kind, whether express or implied, including warranties of accuracy, completeness, merchantability, fitness for a particular purpose, or non-infringement, to the maximum extent permitted by applicable law.

8. Limitation of liability

To the maximum extent permitted by applicable law, Towerlogic Inc. and its directors, officers, employees, and contractors will not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, or for loss of profits, revenue, business opportunity, or goodwill, arising out of or in connection with your use of the Website. Nothing in these Terms limits liability that cannot be limited under applicable law (including, where applicable, intentional fault or gross negligence under Quebec civil law).

For clarity, commercial liability between PipeGears and its paying product customers is addressed in the Master Services Agreement, not here.

9. Changes to these Terms

We may update these Terms from time to time. Updates take effect on the date posted at the top of this page. Your continued use of the Website after the effective date of an update constitutes acceptance of the updated Terms. We will not apply material changes retroactively.

10. Governing law and jurisdiction

These Terms are governed by the laws of the Province of Quebec and the federal laws of Canada applicable in Quebec, without regard to conflict-of-laws principles. The courts of the Province of Quebec, district of Montreal, have exclusive jurisdiction over any dispute arising out of or related to the Website or these Terms.

11. General

Severability. If any provision is held unenforceable, the remaining provisions remain in effect.

Entire agreement (Website use). These Terms, together with the Privacy Policy, constitute the entire agreement between you and Towerlogic Inc. regarding your use of the Website.
